West Fraser Purchases Norbord For $3 Billion
West Fraser Timber Co. Ltd. is acquiring all of the outstanding common shares of Norbord, the world’s largest oriented strandboard producer, for $3.1 billion. Following closing, the combined company will operate as West Fraser.
“Norbord’s OSB production is a perfect complement to the West Fraser portfolio, enabling us to deliver a wider range of wood products, and making us a more complete, efficient and valuable partner for our customers,” says Raymond Ferris, President and CEO of West Fraser.
Norbord operates 17 plant locations in the U.S., Europe and Canada, encompassing 15 OSB mills, one MDF plant, two particleboard facilities and a furniture plant.
West Fraser operates 34 sawmills in British Columbia, Alberta and the Southern U.S., as well as three plywood operations and two MDF facilities in Western Canada.
West Fraser will continue to be led by Ferris as CEO and Chris Virostek as CFO. Peter Wijnbergen, President and CEO of Norbord, will be appointed President, Engineered Wood, responsible for the company’s OSB, plywood, particleboard, MDF and veneer operations. Sean McLaren, currently West Fraser’s Vice-President, U.S. Lumber, will be appointed President, Solid Wood, responsible for all of the company’s lumber operations.

Fourteen composite panel facilities and one corporation as a whole were recognized for their safety achievements during the Composite Panel Association’s annual spring meeting held last week in Tucson, Arizona.
Louisiana-Pacific Corp. received the Safety Innovation Award for its Behavior-Based Safety Observation Program.
Awards were also given to participating manufacturing plants with exemplary safety records, including acknowledgments for long-term, annual, safety improvement, and safety achievement. Awards were given to plants with low/less than 277,000 worker-hours per year (Class I) and high/more than 277,000 worker-hours per year (Class II).
The awardees for the best long-term safety record over the past three years were Arauco North America, Malvern, Arkansas (Class I) and Louisiana-Pacific Corp., Roaring River, North Carolina (Class II).
The annual safety award for having zero incidents among Class I plants during 2015 was shared by Arauco North America (MDF), Bennettsville, South Carolina; Kronospan LLC, Eastaboga, Alabama; Plummer Forest Products, Post Falls, Idaho; Roseburg, Taylorsville, Mississippi; and West Fraser Mills Ltd. (WestPine), Quesnel, British Columbia.

Investigators remain at the scene of an explosion at a wood products mill in Quesnel, B.C.
No one was hurt March 9 when a blast and fire damaged one side of the West Pine MDF mill, at the northern end of the Cariboo community, about 600 kilometers north of Vancouver.
Quesnel Mayor Bob Simpson says the mill employs about 100 people and all the workers on shift at around 5:30 Wednesday were safely evacuated.
West Pine MDF, operated by Quesnel-based West Fraser Mills Ltd., uses sawdust and other materials to manufacture plywood-like boards known as medium density fiberboard.
Firefighters knocked down the blaze and spent the night dousing hot spots on the side of the plant where the sawdust is fed into the building. A cause of the explosion is under investigation and Simpson hopes the mill can resume operation in about a week.

Arauco North America received the Safety Innovation Award for the Safety Leadership Program implemented at its particleboard and MDF mills in Moncure, NC. Arauco’s use of leadership training, monthly safety updates communications, and procedure and policy development resulted in the facilities recording their lowest incident rate in the last 15 years, while the severity and frequency of incidents also decreased. Workers’ compensation claims also dropped 90% in 2014.
Composite panel plants in the Class I (low worker-hours) and Class II (high-worker hours) were also recognized for:
• Best long-term safety record over the past three years: Del-Tin Fiber LLC, El Dorado, AR (Class I) and Louisiana-Pacific Corp., East River, NS (Class II).
• Having zero incidents among Class I plants during 2014: Arauco North America (MDF), Bennettsville, SC; Arauco North America, Malvern, AR; Arauco North America, Sault Ste Marie, ON; and Del-Tin Fiber LLC, El Dorado, AR.
• Safety improvements: West Fraser Mills Ltd. (WestPine), White Court, AB (Class I) and Langboard Inc., Willacoochee, GA (Class II).
• Achieving an incident rate of less than 50% of the industry average, over the past three years. Class I plants were: Arauco North America, Malvern, AR; Del-Tin Fiber LLC, El Dorado, AR; SierraPine, Martell, CA; West Fraser Mills Ltd. (Ranger Board), White Court, AB; and West Fraser Mills Ltd. (WestPine), Quesnel, BC. Class II plants were: Arauco North America, Albany, OR; Louisiana-Pacific Corp., East River, NS; Louisiana-Pacific Corp., Roaring River, NC; and Roseburg, Missoula, MT.

At first blush, year-end financials and stock prices for B.C.’s largest forest companies would suggest the province’s forestry sector is well on the road to recovery after a decade-long slump.
Interfor Corp., for example, posted record sales of $1.4 billion in 2014 and record production of 2.2 billion board feet. Stock values and market caps of B.C.’s three largest forestry companies – Interfor, Canfor Corp. and West Fraser Timber Co. Ltd. – have soared since the end of 2011. Canfor’s share prices have increased almost 180%, West Fraser’s more than 220% and Interfor’s a whopping 410% since the end of 2011. Based on market cap ($6 billion), West Fraser is now B.C.’s seventh-largest publicly traded company.
But that increase in production and stock value is largely attributable to recent acquisitions of sawmills in the U.S., not to a boom in their B.C. operations. In fact, Canfor and Interfor have both closed mills in B.C. in recent years. Warmer winters that led to a massive die-off of pine from the mountain pine beetle infestation are largely to blame.
B.C.’s largest forestry company, West Fraser, now owns 15 American sawmills, compared with just seven in B.C. and five in Alberta. About 36% of its shipments of lumber now come from its U.S. mills, said Rodger Hutchinson, West Fraser’s vice-president of investor relations. Interfor owns five sawmills in B.C., nine in the U.S. and will add another four U.S. mills this year. About 43% of Interfor’s current production capacity is in B.C., 57% in the U.S. Canfor owns 12 sawmills in B.C., one in Alberta and 10 in the U.S. It also owns four pulp mills in B.C., one wood bioenergy plant in Alberta and one in B.C.
