Boise Cascade Selling Two Sawmills, P’Board Operations In Oregon To Woodgrain

Boise Cascade Company has entered into an agreement with Woodgrain Millwork to sell its northeast Oregon lumber mills in Pilot Rock and La Grande and the particleboard operations in Island City. The planned transaction does not include Boise Cascade’s plywood mill or the powerhouse and log utilization center, based in Elgin, OR.

Woodgrain is a manufacturer and supplier with a diverse product offering including moulding, door shop products, and window parts, headquartered in Idaho. “The sale to Woodgrain allows us to further focus on our veneer-based engineered wood products and plywood businesses,” said Mike Brown, senior vice president of operations, Boise Cascade Wood Products division. “Woodgrain is a family-owned company with a solid reputation in the industry. The products manufactured at these northeast Oregon facilities are a good fit with their business strategy.”

“Being a fully integrated company in each step of our supply chain has become one of our core strengths as a company,” said Kelly Dame, Woodgrain CEO. “Being able to grow the Woodgrain Lumber division is a key step in growing as a company. We are excited about the opportunity it offers.”

The details of the agreement were not disclosed and the transaction is contingent upon the results of the due diligence process, which is expected to take approximately 60 days.

Mass timber construction is making waves on both sides of the Canada-U.S. border, but factors in each country mean a different pace of progress.

The state of Washington is rapidly moving forward on both green construction and use of advanced wood products, but Washington State Department of Commerce forest products sector lead Brian Hatfield said the state isn’t necessarily ahead of its Canadian neighbor. “In some ways, British Columbia is ahead of us in terms of low carbon building materials,” he said.

In 2017, the Washington State Department of Enterprise Services oversaw a pilot project that built 20 kindergarten through Grade 3 classrooms using cross-laminated timber (CLT) in five school district sites in Washington. “We had a pilot district for five school districts, all single-story schools, and those have gone pretty well. They went up quickly and everyone was impressed,” Hatfield said.

The state’s 2016 supplemental capital budget included $5.5 million for the pilot project, which also measures the efficiencies of using engineered wood products through the construction process.

While Washington is taking steps to increase wood use in construction, the Province of British Columbia has pushed for mass timber and wood-focused design for the previous decade. In 2009, the Province of British Columbia put the Wood First Act into practice, which requires provincially funded projects to use wood as a primary construction material. The B.C. building code was also modified in 2009 to allow for wood buildings of up to six stories.

Structural EWP Exempt From New EPA Formaldehyde Regulations

The U.S. Environmental Protection Agency’s (EPA) new federal formaldehyde emissions regulations took effect on June 1st, 2018. As of this date all composite wood products must be certified as compliant with these regulations.The EPA defines composite wood products here as both domestic and imported particleboard, medium density fiberboard (MDF), and hardwood (decorative) plywood.

Structural engineered wood products made for construction applications are exempt from this regulation, including structural plywood, oriented strand board (OSB), wood I-joists, laminated veneer lumber, and glued-laminated timber. All of these products are manufactured with low-emitting, moisture-resistant adhesives in accordance with existing product standards and building codes, according to The Engineered Wood Association (APA).

For quick reference, structural engineered wood products marked with the APA Mark of Quality are considered exempt from the new regulations. If unmarked products from APA member mills are sold into applications that do not require a certification mark, the product invoice and an APA certificate of conformance can be used to identify the product as exempt.

The Formaldehyde Standards for Composite Wood Products Act was signed by President Barack Obama on July 7th, 2010, based on the Air Toxic Control Measure developed by the California Air Resources Board (CARB). The first phase of regulation rollout, now in effect, allows for compliance with either the CARB ATCM Phase II or the U.S. EPA TSCA Title VI. Starting March 22nd, 2019, only the U.S. EPA TSCA Title VI will be permitted as a path to compliance.

Boise Cascade Acquires Tennessee Distributor

 

Boise Cascade Company is acquiring Lumberman`s Wholesale Distributors, a Nashville, Tenn.-based distributor of engineered wood products, commodity lumber items, and specialty building materials. The acquisition is expected to be complete in the coming weeks. Terms of the deal were not disclosed.

“We are very pleased to welcome the Lumberman`s associates to Boise Cascade. They have been an excellent distributor for nearly 50 years,” said Nick Stokes, executive VP of Boise Cascade Building Materials Division. “This location will allow us to strengthen our nationwide presence and satisfy a growing demand for our products and services in the Tennessee Valley and Central Kentucky markets.”

Founded in 1969, Lumberman’s supplies pro dealers, millwork houses, and manufacturers. “We are excited to join Boise Cascade,” said Garey Keltner, president, Lumberman`s Wholesale. “We believe there is a strong cultural and strategic fit that will allow us to grow and continue to serve our customers.”

Last month Boise Cascade reported fourth quarter 2017 net sales of just over $1 billion, up 19% from fourth quarter 2016 net sales of $919 million. For the full year, the engineered wood products and building products supplier reported sales of $4.43 billion, a 13% increase from sales of $3.91 billion in 2016.

The Boise, Idaho-based company also recently reported a fourth quarter net income of $19.1 million, soaring well above a fourth quarter 2016 net income of $4 million. For the full year Boise Cascade reported a net income of $83 million, increasing 117% from a net income of $38.3 million in 2016.

Roseburg Forest Products To Acquire Canada’s Pembroke MDF

Oregon-based Roseburg Forest Products recently reached an agreement in principle with Pembroke MDF, Inc. to purchase Pembroke’s medium density fiberboard (MDF) and molding production facilities located in northeastern Ontario, Canada. Upon final due diligence and Board of Director approval, the parties expect the sale to close by April 9, 2018.

The acquisition will be Roseburg’s first international purchase and will continue the company’s expansion throughout North America. Roseburg is currently building an engineered wood products plant in Chester, S.C., and recently acquired 158,000 acres of timberland in Virginia and North Carolina.

“The Pembroke plant and its employees present untapped potential that can be used to better serve existing and future customers of our innovative and versatile MDF product line,” said Mark Avery, Roseburg Senior Vice President of Industrial Products and National Accounts. “It’s an exciting opportunity for Roseburg to move into the northeastern region and further diversify our operations and meet demand.”

Roseburg currently owns and operates an MDF plant in Medford, Ore., which produces the company’s Arreis, Medite, Medex, Permacore and Fibrlite product lines. “The addition of the Pembroke MDF plant means Roseburg customers will have access to a broader portfolio of products from a company with a demonstrated, long-term commitment to the industry,” said Jim Buffington, Roseburg’s Business Director for Industrial Products.

“While this deal represents an excellent strategic opportunity for the company, it also offers Pembroke employees and suppliers the promise of stability and consistency provided by Roseburg’s large manufacturing enterprise,” Roseburg President and CEO Grady Mulbery said. “This is a win-win for everyone involved, and we look forward to what the future will bring.”
